Terms for accessing and using CentralBook, including its Xero and QuickBooks integrations.
Effective date: July 1, 2026
1. Who These Terms Apply To
These End-User License Agreement and Terms of Use apply to each person and organization that accesses CentralBook. If you use CentralBook for a company, client, or other organization, you represent that you are authorized to accept these terms for that organization.
If you have a separate written agreement with CentralBook, that agreement controls where it conflicts with these terms.
2. The Service
CentralBook provides accounts payable workflow tools for invoice intake, OCR-assisted data extraction, review, approvals, payment tracking, vendor request forms, reporting, and accounting-system synchronization.
CentralBook may connect to third-party services such as Xero and QuickBooks only after an authorized user completes the provider authorization flow. Those third-party services remain governed by their own terms and policies.
3. License and Access
Subject to these terms, CentralBook grants you a limited, non-exclusive, non-transferable, revocable right to access and use the service for your internal business accounts payable workflows.
You may not resell, sublicense, reverse engineer, interfere with, scrape, overload, or use CentralBook to violate law, third-party rights, provider requirements, or the security of CentralBook or connected services.
4. Your Data and Permissions
You retain ownership of invoices, attachments, contacts, chart-of-account data, payment records, approval records, workspace settings, and other content that you or your connected services provide to CentralBook.
You grant CentralBook permission to host, process, display, transmit, and synchronize that data as needed to provide, secure, support, and improve the service. You are responsible for the accuracy of data entered into CentralBook and for having the rights and consents needed to submit or sync that data.
5. Accounting Integrations
When you connect Xero, QuickBooks, or another provider, you authorize CentralBook to read and write the data allowed by the scopes you approve, including relevant organizations, contacts, accounts, bills, payments, taxes, tracking categories, and attachments.
You are responsible for reviewing records before export and for confirming that bills, payments, account coding, tax treatment, and other accounting entries are correct for your books.
6. Security and Accounts
You are responsible for keeping user credentials, MFA devices, and authorized sessions secure. You must promptly revoke access for users who should no longer use the service.
You must notify CentralBook promptly if you believe an account, integration token, workspace, or connected provider account has been accessed without authorization.
7. Availability and Changes
CentralBook may update, suspend, or discontinue features from time to time. The service may be unavailable because of maintenance, incidents, provider outages, network issues, or events outside CentralBook control.
CentralBook may change these terms by posting an updated version. Continued use after the effective date of an update means you accept the updated terms.
8. Third-Party Services
CentralBook is not responsible for Xero, QuickBooks, or other third-party products, APIs, outages, data accuracy, or policy changes. Provider access may be limited, suspended, or revoked by the provider or by your workspace administrators.
You must use connected provider data only for authorized business purposes and in compliance with the provider terms that apply to you.
9. Disclaimers and Liability
CentralBook is provided on an as-is and as-available basis to the fullest extent allowed by law. CentralBook does not provide legal, tax, accounting, or financial advice.
To the fullest extent allowed by law, CentralBook will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, lost data, or provider-side errors.
10. Termination
CentralBook may suspend or terminate access if you breach these terms, create security risk, fail to pay required fees under an applicable order, or use the service in a way that may harm CentralBook, users, providers, or third parties.
You may stop using CentralBook at any time. Workspace owners may request export or deletion of workspace data subject to legal, operational, backup, and audit-retention requirements.
11. Governing Law and Contact
Unless a written agreement says otherwise, these terms are governed by the laws of the State of New York, without regard to conflict-of-law rules.
